This EULA, together with the Terms of Use and Privacy Policy, governs your use of the Spring software.
Parties and scope
This End-User Licence Agreement ("EULA") is between you and Chai Magal, sole proprietor, Shani 4, Modiin, Israel ("Licensor," doing business as "chaimagal"), for your use of the Spring mobile application — including updates, bundled content, server-side services invoked by the application, and documentation (the "Software").
Grant of licence
Licensor grants you a non-exclusive, non-transferable, revocable, worldwide, personal licence to install and use one copy of the Software on devices you own or control, for personal, non-commercial use, subject to this EULA and the Terms of Use. This licence includes use of features that connect to cloud services Licensor operates or retains, as described in the Privacy Policy.
Restrictions
You shall not:
- Copy the Software except as allowed by this EULA.
- Sell, rent, lease, sublicense, distribute or transfer it to anyone.
- Modify, adapt or create derivative works of it.
- Reverse-engineer, decompile or disassemble it, except to the extent local law expressly permits.
- Remove any copyright, trademark or proprietary notices.
- Abuse, overload, or use automated systems against any cloud service the Software depends on, including any AI inference endpoint, beyond the quotas and rate limits Licensor sets.
App Store terms
If you obtained the Software via the Apple App Store, you acknowledge:
- This EULA is between you and Licensor only, not Apple; Licensor is solely responsible for the Software.
- The licence is limited to a non-transferable licence to use the Software on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms.
- Apple has no maintenance or support obligation.
- If the Software fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price; Apple has no other warranty obligation.
- Apple is not responsible for claims by you or third parties relating to the Software, including product-liability, consumer-protection, intellectual-property, and privacy claims.
- Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce it against you.
If obtained via Google Play, Google's Terms of Service and Developer Distribution Agreement apply to the extent relevant.
Intellectual property
The Software, including source code, design, text, graphics, UI, trademarks, prompt templates, and model-adaptation weights fine-tuned or trained by Licensor, is owned by Licensor or its licensors and protected by copyright, trademark and other laws. No rights are granted except those expressly stated here. Output produced by AI features is made available to you under the terms of the Privacy Policy and Terms of Use; you are responsible for reviewing it before relying on it.
Open-source components
The Software includes open-source components under their respective licences. A list is available on request from support@chaimagal.com and in the app's About screen. Where an open-source licence conflicts with this EULA for a specific component, the open-source licence governs that component.
AI features and training
The Software may include AI features. Some run entirely on your device using a model that Licensor has packaged with, or downloaded into, the app. Others may send your input and relevant context over TLS to a cloud AI provider that Licensor has engaged. In both cases, you agree not to extract, redistribute, fine-tune, or misuse the underlying model or its weights, and not to use the Software to generate content that is unlawful, that infringes another person's rights, or that violates the cloud provider's usage policy. AI output is provided as-is; Licensor does not warrant its accuracy, completeness, fitness, safety, or non-infringement.
Licensor may use your input, output, and other content from the Software to train, fine-tune, evaluate, and improve Licensor's own and third-party AI/ML models, including via human review of representative samples by Licensor's personnel or contractors under confidentiality. The Privacy Policy describes how this applies to your data and any consent or opt-out applicable in your jurisdiction.
The Software currently includes a bundled on-device language model, Gemma 3 270M-IT, distributed by Google. This application uses Gemma by Google. Gemma is provided under and subject to the Gemma Terms of Use found at ai.google.dev/gemma/terms. By using AI features in the Software, you also agree to comply with the Gemma Prohibited Use Policy at ai.google.dev/gemma/prohibited_use_policy; you will not use the Software to generate content that violates that policy. Licensor may replace the bundled model with a successor in a future update; the same licence terms will apply to whatever model is then bundled.
Cloud services and data transmission
Some features of the Software transmit the content you provide — including text you type, attachments you add, voice inputs, and derived metadata — to cloud services that Licensor operates or has engaged (collectively, "Cloud Services"). This may include hosting, authentication, object storage, backup, analytics, crash and error reporting, cloud AI inference, model training, payment processing, in-app purchase verification, advertising, ad-measurement, attribution, marketing, and customer-support tooling.
The categories of Cloud Services Licensor may engage are listed in the Privacy Policy; specific providers change over time. Licensor selects and configures Cloud Services and remains responsible for how the Software uses them. Cloud Services operate under their own terms and privacy policies; you are not required to accept those separately, but you acknowledge they apply to the processing those providers perform on Licensor's behalf.
In-app purchases and subscriptions
The Software is free to install. Some features may require a one-time purchase or a recurring subscription processed exclusively through the App Store or Google Play. All purchases are subject to the terms and refund policies of the store through which you purchased.
Subscriptions auto-renew at the end of each billing period at the then-current price unless cancelled at least 24 hours before the end of the current period, through your Apple ID or Google account. Free trials and introductory offers convert to paid subscriptions under the same renewal rules. Upgrades, downgrades, price changes, proration, family sharing and refund eligibility are governed by the store. Licensor does not collect, see, or store your payment card details; Licensor receives only the purchase status and receipt needed to unlock paid features.
Where mandatory consumer-protection law grants you a right to withdraw or cancel (e.g., the EU 14-day right of withdrawal, the UK Consumer Contracts Regulations 2013, the Israeli Consumer Protection Law 5741-1981, California's Automatic Renewal Law, Germany's Fair Consumer Contracts Act cancellation button, the Australian Consumer Law), nothing in this EULA limits those rights.
Advertising
The Software may display advertising provided by Licensor or by third-party ad networks, ad-measurement, attribution, retargeting, or marketing partners — including for cross-context behavioral advertising as defined under California privacy law. Where required by law, advertising-related processing is subject to your in-app consent (EU/EEA/UK/Brazil) or your "Do Not Sell or Share" choice (California and similar US states); we honor Global Privacy Control (GPC) signals. Licensor does not permit ad partners to target advertising to you based on sensitive categories (health, mental-health, pregnancy, religion, political views, sexual orientation, precise geolocation) derivable from the Software.
Updates
Licensor may provide updates, including updates that replace a bundled AI model, change which Cloud Services the Software uses, add paid features, or introduce advertising. Some updates may be required for continued use. This EULA applies to updates unless a separate agreement accompanies them.
Term and termination
Effective until terminated. Terminates automatically on breach. On termination you must cease use and delete all copies. Sections on IP, disclaimers, liability, data-transmission acknowledgements and governing law survive.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST DATA, PROFITS, OR GOODWILL. TOTAL LIABILITY IS CAPPED AT USD 50 OR THE AMOUNT PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER. NOTHING EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW, INCLUDING STATUTORY CONSUMER GUARANTEES IN THE EU, UK, AUSTRALIA, ISRAEL AND QUEBEC, AND LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR FRAUDULENT MISREPRESENTATION.
Disclaimers
THE SOFTWARE AND ANY AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
What we will not do
Licensor will not:
- Sell raw, identifiable personal data to data brokers (de-identified or aggregated data may be sold).
- Share personal data with insurers, employers, or law enforcement absent valid legal process or your consent.
- Use personal data for political-advertising targeting.
Export compliance
You represent that you are not located in a country subject to a U.S. or Israeli embargo, and that you are not on any government list of prohibited or restricted parties.
Governing law
Governed by the laws of Israel, without regard to conflict-of-laws rules. Exclusive venue is the competent courts with jurisdiction over Modiin, unless mandatory consumer-protection law of your residence provides otherwise.
Entire agreement
This EULA with the Terms of Use and Privacy Policy for Spring is the entire agreement between you and Licensor regarding the Software, superseding any prior agreement on the subject.
